TERMS & CONDITIONS By clicking the box below, you acknowledge and agree to the following terms and conditions: Proofreading & Editing Services: 1. You may submit a written document (“Work”) to Grammar-Us Communications (“GUC”) for the purpose of review by GUC. Such work must be in the English language. You may submit the work electronically in the Microsoft Word, PowerPoint or pdf format, by attaching the document to an e-mail addressed to claudia@grammar-us.com. Use of any other computer program format to submit the Work must be pre-approved in writing by GUC. You may also submit the work in hard copy format, by mailing it, via the United States Postal Service, to GUC at the following address: Grammar-Us Communications, P.O. Box 852324, Richardson, TX 75085. PLEASE RETAIN THE ORIGINAL DOCUMENT AND SEND GUC ONLY A TRUE AND CORRECT COPY, AS GUC WILL MARK UP THE DOCUMENT THAT YOU SEND TO GUC. Whether you send the Work electronically or via United States Postal Service, GUC will send you a confirmation e-mail message when the Work is received. PAYMENT FOR PROOFREADING/EDITING SERVICES MUST BE RECEIVED BY GUC PRIOR TO ANY REVIEW BEING PERFORMED BY GUC. FEES MUST BE REMITTED IN U.S. DOLLARS AND ARE NONREFUNDABLE. 2. GUC will review the Work which you have submitted, for the purpose of determining whether the Work contains spelling and/or grammar errors. Any such errors will be marked on a copy of the Work, using generally accepted proofreading symbols and notations, a key to which will be provided to you when the marked-up Work is returned to you. GUC will return the Work to you in the form GUC chooses, which will be either: (i) a scanned copy of the Work, showing the corrections made by hand; or (ii) a copy of the Work in the same format in which it was submitted, using “Track Changes” or other editing feature(s) of the computer program. It is your responsibility to incorporate such corrections into your original document. 3. GUC may also suggest minor edits to the Work, which in GUC’s expert opinion will improve its clarity and readability. Such edits are in no way intended to alter the content of the Work as to facts, statistics, the essence of what is being communicated, or any other intent of the Work. Such edits will be clearly marked on the copy of the Work that is returned to you. 4. You may accept or reject any corrections, whether to grammar and spelling or to edits, at your sole discretion. 5. GUC will use its best efforts to identify and correct all errors in spelling and grammar found in the Work. However, GUC is not responsible for any errors or omissions, whether made by GUC or by you. You are solely responsible for the content of the Work, including but not limited to the accuracy of facts and statistics contained therein. GUC will not research any facts, statistics or any other content of the Work. 6. GUC will use its best efforts to review the Work in a timely manner, typically within forty-eight (48) hours of receipt of the Work by GUC (longer for Works in excess of twenty-five (25) pages). GUC will confirm to you, at the same time that GUC confirms receipt of the submitted Work, the estimated turnaround time for review. GUC will not be liable for circumstances beyond its reasonable control which may delay the turnaround time of the review, but GUC will notify you of any anticipated delay(s) and keep you informed of the status of the review in the event of such delay(s). 7. You warrant to GUC that the Work submitted to GUC for review is original and not plagiarized from any other source. You assume sole liability for, and shall defend GUC against, any and all copyright infringement, libel or other claims by third parties regarding the Work. 8. All rights to the Work, including but not limited to publishing rights and copyrights, belong to you at all times. Grammar-Us Communications, Claudia Khan, or any other name associated with GUC shall not appear on or in the Work in any form or manner. Except for one (1) copy of the Work, made for the sole purpose of marking up the copy with corrections to grammar and spelling and minor edits, GUC will not copy or retain The Work or use it in any way. 9. GUC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE FITNESS OF THE WORK FOR ANY PARTICULAR PURPOSE, OR WHETHER THE WORK WILL BE ACCEPTED FOR PUBLICATION BY ANY THIRD PARTY PUBLISHER. IT IS YOUR RESPONSIBILITY TO SUBMIT THE WORK FOR PUBLICATION TO A THIRD PARTY PUBLISHER. Ghostwriting Services: 1. You may submit an idea for a Work to be created entirely by GUC “from scratch.” Any requests for GUC to create a Work for you must be accepted in writing by GUC before any writing will be done by GUC. 2. In order for GUC to consider whether or not to accept your request to create a Work, you must submit an outline of the Work requested, including the format of the Work (article, pamphlet, book, etc.), the points you wish to communicate, a description of the audience to which the Work is to be directed, any facts, statistics or research notes that must be included in the Work and the approximate length of the Work. Such submission may be made electronically, using the form provided on the GUC website (www.grammar-us.com), via email to claudia@grammar-us.com, or a hard copy may be mailed via the United States Postal Service, to: Grammar-Us Communications, P.O. Box 852324, Richardson, TX 75085. 3. If GUC decides to accept your request, GUC will send you an e-mail confirmation of same, along with an estimated turnaround time for completion of the Work and a quote for the fee to create the Work for you. PAYMENT OF NO LESS THAN FIFTY (50) PERCENT OF THE QUOTED FEE MUST BE RECEIVED BY GUC PRIOR TO COMMENCEMENT OF THE WORK BY GUC. THE BALANCE DUE MUST BE RECEIVED BY GUC PRIOR TO RELEASE OF THE COMPLETED DRAFT OF THE WORK TO YOU. FEES MUST BE REMITTED IN U.S. DOLLARS AND ARE NONREFUNDABLE. 4. GUC will use its best efforts to create the Work using the information you have provided to us and no other information. The work will be created in the English language only. GUC will not do any research or confirm any facts or statistics submitted to it for inclusion in the Work; it is your sole responsibility to provide these to GUC prior to commencement of the Work. 5. A draft of the Work will be sent to you by GUC within the timeframe agreed upon between you and GUC, provided that GUC has received payment of all quoted fees. In the case of long works (more than 25 pages), GUC may opt to send you the draft in installments of approximately equal length. You will be given ten (10) business days, or such other time as is agreed upon by you and GUC in advance, in which to review the Work and notify GUC of any changes you wish to make. If GUC does not receive any feedback on the Work within the designated timeframe, GUC will assume that the Work is approved as written and will close its project status file on the Work. NO REFUND WILL BE MADE FOR COMPLETED WORKS. 6. IN THE EVENT THAT EXTENSIVE REWRITES OR ADDITIONAL COPY IS REQUIRED BY YOU OR A THIRD PARTY PUBLISHER, GUC, IN ITS SOLE DISCRETION, RESERVES THE RIGHT TO CHARGE AN ADDITIONAL FEE FOR SAME. SUCH ADDITIONAL FEE SHALL BE AGREED UPON IN WRITING BY BOTH PARTIES AND MUST BE RECEIVED BY GUC PRIOR TO COMMENCEMENT OF THE REWRITE(S) OR ADDITIONAL COPY CREATION. 7. All rights to the Work created by GUC, including but not limited to publishing rights and copyrights, belong to you at all times. Grammar-Us Communications, Claudia Khan, or any other name associated with GUC shall not appear on the Work in any form or manner whatsoever. Except for one (1) working draft of the Work, GUC will not copy or retain The Work or use it in any way whatsoever. 8. GUC warrants that the Work created will be an original work and will not be plagiarized from any other source whatsoever. Notwithstanding the foregoing, you are solely liable for the accuracy of any facts, statistics, research and/or other material submitted to GUC and used by GUC to create the Work, and you will indemnify and defend GUC against any claims whatsoever, including but not limited to libel claims, made by third parties regarding the Work. 9. GUC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE FITNESS OF THE WORK FOR ANY PARTICULAR PURPOSE, OR WHETHER THE WORK WILL BE ACCEPTED FOR PUBLICATION BY ANY THIRD PARTY PUBLISHER. IT IS YOUR RESPONSIBILITY TO SUBMIT THE WORK FOR PUBLICATION TO A THIRD PARTY PUBLISHER. Fees & Payments: 1. All fees charged by GUC must be paid in advance of your receipt of the completed services. Fees must be remitted in U.S. Dollars only. 2. Fees are nonrefundable, except in specific instances that are pre-approved in writing by GUC. 3. Fees must be paid via PayPal, using a credit card or bank transfer. Any payments via check or credit card which are declined by the issuing bank will incur an additional charge from GUC, in the amount of $25 or 10% of the fee for services rendered, whichever is greater, and such additional charge must be paid in full prior to your receipt of the completed Work from GUC. Privacy Notice: 1. All information, including the Work you submit for proofreading/editing, the information you provide in order for GUC to create a Work, or your personal information, will remain confidential and will not be disseminated or used in any way whatsoever by GUC without your express written permission. 2. GUC will not sell or otherwise disseminate your personal information to any third party vendor or mailing list for the purpose of soliciting you for any other product or service. 3. From time to time, GUC may send you a satisfaction survey. Any information gleaned from your completion of such a survey is for the sole use of GUC, will remain completely confidential, and will not be disseminated by GUC to third parties in any way whatsoever. 4. From time to time, GUC may request a testimonial regarding your satisfaction with GUC’s services. In such cases, we may request permission from you to quote the testimonial, in whole or in part, on our website or in other advertising materials. If you provide GUC with a testimonial and grant GUC permission to quote it, in whole or in part, GUC will protect your privacy by not using your full name or any other identifying information, except with your express written permission to do so. 5. GUC may also request permission to use your name and/or your company name as part of a list of GUC clients. This list may be used by GUC in advertising designed to obtain new clients for GUC’s services and will only contain your name or initials or your company’s name, in list form. No other information will be included on such a list. GUC will protect your privacy by not using your full name or any other identifying information, except with your express written permission to do so.
